Terms of Service and End User License Agreement (Self Hosted Software)

Effective Date: January 1, 2026

This Terms of Service and End User License Agreement (“Agreement”) is a legal contract between you (“Licensee”) and Genie Snap LLC (“Licensor”) governing your use of the Genie Snap self hosted software (“Software”).

1. Introduction

By installing or using the Software, you agree to be bound by this Agreement. If you do not agree, you must not install or use the Software.

2. License Grant

Genie Snap LLC grants you a limited, non exclusive, non transferable, revocable license to install and use the Software solely for your internal business purposes. This license does not constitute a sale of the Software or any intellectual property rights.

3. Restrictions

You may not:

Copy, modify, or create derivative works of the Software.
Distribute, sublicense, rent, lease, or lend the Software to third parties.
Reverse engineer, decompile, or disassemble the Software except where expressly permitted by law.
Use the Software for unlawful purposes or in violation of applicable regulations.

4. User Responsibilities

You are solely responsible for installation, configuration, operation, and maintenance of the Software in your environment.
You must ensure appropriate backups, security measures, and compliance with applicable laws.
Genie Snap LLC does not access, store, or process any data generated by your use of the Software. You are solely responsible for compliance with data protection and privacy laws.

5. Payment Terms

Access to the Software may require payment of license fees. All fees are billed in advance and are non refundable unless otherwise stated. Updates, upgrades, or support services may require additional fees.

6. Termination

This Agreement is effective until terminated. Genie Snap LLC may terminate your license immediately if you breach any provision of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies.

7. Disclaimer of Warranties

The Software is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non infringement.

8. Limitation of Liability

To the maximum extent permitted by law, Genie Snap LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to your use of the Software. Genie Snap LLC’s total liability shall not exceed the amount you paid for the license.

9. Assumption of Risk

You acknowledge and agree that you use the Software at your own discretion and risk, and that you will be solely responsible for any damages, losses, or claims that result from such use, including those related to your hosting environment.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.

11. Entire Agreement

This Agreement constitutes the entire agreement between you and Genie Snap LLC regarding the Software and supersedes all prior or contemporaneous understandings.
